This document is an official public offer by Individual Entrepreneur Artem Serhiiovych Hryhoriev (the Seller) to enter into a contract of sale on the terms set out below with any legally capable individual who performs the actions described in Section 3 (the Buyer).

The contract is concluded under Articles 633, 641 and 642 of the Civil Code of Ukraine and the Law of Ukraine "On Electronic Commerce" No. 675-VIII of 3 September 2015.

By placing an order on the site you confirm that you have read, understood and accept these terms in full.

1. Definitions

1.1. Site — the website https://lumino-lab.com, all its pages and language versions.

1.2. Product — the children's creative set "LuminoLab. Water Drawing Mat", as described on the Site.

1.3. Order — a duly completed request to purchase the Product submitted through the checkout form on the Site.

1.4. Acceptance — the Buyer's full and unconditional acceptance of this offer by performing the actions set out in clause 3.2.

2. Subject matter

2.1. The Seller undertakes to transfer ownership of the Product to the Buyer, and the Buyer undertakes to accept and pay for it.

2.2. The Seller sells and delivers within the territory of Ukraine only.

2.3. The Product is intended for children aged 3 and over. It is not a medical device or a technically complex household product.

2.4. The Seller warrants that the Product is new, unused, free of any pledge, seizure, dispute or third-party rights.

3. Conclusion of the contract

3.1. The offer is deemed published from the moment it appears on the Site and remains valid until withdrawn or amended by the Seller.

3.2. Acceptance consists of the following actions by the Buyer:

• adding the Product to the cart;
• completing the order form with accurate details (name and surname, phone number, e-mail, delivery address or carrier branch);
• ticking the box confirming agreement with this offer and the Privacy Policy;
• clicking the order confirmation button.

3.3. The contract is concluded at the moment defined by Article 11 of the Law of Ukraine "On Electronic Commerce" — when the Seller receives a duly completed Order. Under Article 12 of that Law the contract has the same legal force as a contract concluded in writing.

3.4. The Seller sends electronic confirmation to the Buyer's e-mail address, stating the order number, the Product and quantity, the total amount, and the chosen payment and delivery methods.

3.5. By placing an Order the Buyer confirms that they are of legal capacity and at least 18 years old. The Seller does not contract with minors.

3.6. The Seller may decline to fulfil an Order if the Buyer provided incomplete or inaccurate details, the Product is out of stock, or the Buyer has previously repeatedly failed to collect orders without good reason. The Buyer is notified no later than the next business day and any funds paid are refunded in full.

4. Price and payment

4.1. The price of the Product is UAH 1,500.00 per set, as shown on the Site.

4.2. The Seller is not a VAT payer (single tax group 3, rate 5 %). No VAT is charged.

4.3. The price does not include delivery. Delivery is charged at the carrier's current rates and is communicated to the Buyer before payment.

4.4. The Seller may change prices unilaterally. Price changes do not affect Orders already placed and confirmed.

4.5. Payment methods:

• 4.5.1. Card payment on the Site (100 % prepayment). Payments are processed by plata by mono (JSC Universal Bank) and/or NovaPay (NOVA PAY LLC). The Seller does not receive, process or store the Buyer's card data — it is transmitted directly to the payment service over a secure channel in accordance with PCI DSS.
• 4.5.2. Cash on delivery via Nova Poshta — payment on collection at the carrier's branch. The carrier's money transfer fee is paid additionally by the Buyer at the carrier's rates.

4.6. The Buyer's payment obligation is discharged when the funds are credited to the Seller's account.

4.7. The Seller issues a fiscal receipt in electronic form to the e-mail address or phone number provided. The Buyer consents to receiving the settlement document electronically.

4.8. A prepayment Order not paid within 3 calendar days may be cancelled by the Seller.

5. Delivery

5.1. Delivery is carried out by Nova Poshta LLC to a branch, a parcel locker or an address, at the Buyer's choice.

5.2. The Seller hands the Product to the carrier within 2 business days of payment confirmation (prepayment) or Order confirmation (cash on delivery). Carrier transit time is usually 1–3 business days.

5.3. In any event the Product is delivered no later than 30 calendar days from conclusion of the contract (Article 13 of the Law of Ukraine "On Consumer Protection"). If the Order cannot be fulfilled, the Seller notifies the Buyer and refunds all funds in full within 30 days.

5.4. Title and the risk of accidental loss or damage pass to the Buyer upon actual receipt of the Product from the carrier.

5.5. The Buyer must check the integrity of the packaging and the completeness of the set at the moment of collection, in the presence of the carrier's representative, and draw up a report with the carrier if any damage or shortage is found.

6. Consumer rights, returns and exchanges

6.1. The Buyer may withdraw from the contract within 14 calendar days of receiving the Product, without giving reasons (Article 13(4) of the Law of Ukraine "On Consumer Protection").

6.2. If the Seller failed to provide the information required by law, the withdrawal period is 90 days from receipt of the Product.

6.3. A return is accepted provided the Product has not been used, its appearance, consumer properties, full set of components, seals, labels and original packaging are preserved, and proof of purchase is available.

6.4. The cost of returning the Product is borne by the Buyer, except where the Product is defective or does not match the Order.

6.5. The Seller refunds the amount paid within 7 business days of receiving the returned Product, and in any case no later than 30 days from the Buyer's withdrawal notice, using the same payment method.

6.6. If the Product is defective, the Buyer has the rights set out in Article 8 of the Law of Ukraine "On Consumer Protection": a proportionate price reduction, free repair, replacement, or termination with a full refund.

6.7. No separate commercial warranty period is established. The Buyer's rights are protected within the periods provided by the Law of Ukraine "On Consumer Protection" and the Civil Code of Ukraine.

7. Liability

7.1. The Seller is not liable for delays caused by the carrier, for inability to contact the Buyer due to inaccurate contact details, for harm caused by using the Product contrary to its purpose or the age marking (3+), or for temporary unavailability of the Site.

7.2. The Product contains small parts. Children must use it under adult supervision. Age marking: 3+.

7.3. The Seller's aggregate liability is limited to the price of the Product paid, save where the law provides otherwise.

8. Force majeure

The Parties are released from liability where non-performance is caused by circumstances beyond their reasonable control, including armed aggression, martial law, missile attacks, air raid alerts, power outages, natural disasters, epidemics, acts of public authorities and strikes. If such circumstances last more than 60 calendar days either Party may terminate the contract, and the Seller refunds in full any amounts paid for undelivered Products.

9. Personal data

By placing an Order the Buyer consents to the processing of their personal data under the Law of Ukraine "On Personal Data Protection" No. 2297-VI on the terms of the Privacy Policy.

10. Disputes

10.1. Disputes are resolved through negotiation. Claims may be sent to info@lumino-lab.com.

10.2. The Seller reviews a claim and replies within 14 calendar days.

10.3. Failing agreement, disputes are settled by the courts of Ukraine under Ukrainian law. A consumer may bring proceedings at their place of residence.

11. Term and amendments

The contract is valid from Acceptance until both Parties have performed their obligations. The Seller may amend the offer; the new version takes effect upon publication on the Site and does not apply to Orders placed before that.
